Terms of Service

1. Agreement

These terms are a contract between you and Business All In One Marketing Solutions LLC, a Vermont limited liability company doing business as HoundBell (“we”, “us”) covering your use of the HoundBell application at app.houndbell.com and related services (together, the “Service”). By creating an account or using the Service you agree to these terms and to our Privacy Policy at houndbell.com/privacy.

2. The Service

HoundBell is a customer relationship management service that connects to WordPress websites through our companion plugin, captures form submissions as leads, and provides tools to manage them. Features may change as we build. The Service is offered on the paid subscription plans described in Section 4 and on the pricing page.

3. Your account

You must provide accurate information and keep your login credentials secure. You are responsible for activity under your account, including the actions of team members you invite. Notify us promptly at support@houndbell.com if you suspect unauthorized access.

4. Subscriptions and billing

HoundBell is sold as a monthly or annual subscription. Every new account starts with a 14-day free trial with no payment method required; when the trial ends, your data is retained but a paid plan is required to continue using the Service. Subscriptions renew automatically at the end of each billing period until canceled. You can cancel anytime from the Billing page; cancellation stops future charges and your plan remains active through the end of the period you have paid for. Payments are processed by Stripe; we never see or store your card number. Plan features and limits are described on the pricing page. Prices may change with at least 30 days notice, except that customers designated as Founding Members keep their subscription price for as long as their subscription remains active. If a payment fails, we will retry it and notify you before access is affected.

5. Money-back guarantee

If HoundBell is not for you, tell us within 30 days of your first payment and we will refund it in full.

6. Your data

The leads, forms, pipelines, notes, and other content you store in the Service belong to you. We claim no ownership of it. You grant us only the limited rights needed to host, process, transmit, and display that data in order to provide the Service. You can export your leads at any time, and deleting data in the app permanently removes it from our production systems.

You are responsible for the data you collect through the Service: for having a lawful basis to collect it, for the disclosures you make to your own website visitors, and for how your team members use it.

7. The WordPress plugin

The HoundBell plugin is free software licensed under the GPL (version 2 or later). You may use, modify, and redistribute it under that license. The plugin is a connector: an account with the Service is required for it to function. These terms govern the Service; the GPL governs the plugin code.

8. Acceptable use

You agree not to use the Service to violate any law; send spam or unsolicited communications; send text messages or emails without any consent required by applicable law or industry rules; purchase, rent, scrape, or otherwise use contact lists for unauthorized messaging; collect data deceptively; store or transmit malicious code; infringe the rights of others; attempt to breach, probe, or interfere with the security of the Service or other accounts; misrepresent your identity or the identity of the sender of a communication; or resell the Service without our written agreement.

You must honor recipient opt-out requests and may not attempt to circumvent messaging restrictions, carrier filtering, or compliance requirements.

We may suspend, restrict, or terminate accounts that violate these rules, with notice where practical.

9. Availability and support

We aim to keep the Service reliable and continuously available, but we do not guarantee uninterrupted operation. We may modify features with reasonable notice of material changes. Support is provided by email at support@houndbell.com.

10. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will meet your requirements or be error free. You use the Service with the understanding that issues can occur; we encourage regular use of the built-in export features.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from your use of the Service. To the extent any liability is not excludable, our total aggregate liability is limited to the greater of one hundred US dollars ($100) or the amounts you paid us for the Service in the twelve months before the claim arose.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violation of these terms or for extended non-payment once paid plans exist. Upon termination we will make your data available for export for a reasonable period of at least 30 days, unless the account was terminated for serious abuse or we are legally prevented from doing so.

13. Electronic signatures

The Service lets you send agreements that your clients sign electronically by typing their legal name and confirming their intent to sign. You and your clients agree that signatures made this way are intended to be valid and enforceable to the fullest extent permitted by law, including under the U.S. ESIGN Act. For each signature, the Service records the signer’s name, the date and time, and the signer’s IP address and device information, and attaches this record to the agreement. Signed agreements are locked and cannot be edited. HoundBell is not a party to any agreement between you and your clients, and we are not responsible for its content, performance, or enforcement.

14. Templates are not legal advice

The Service includes agreement and form templates as starting points. They are not legal advice, and we are not a law firm. Laws vary by state and by situation. Review any agreement you rely on with a qualified attorney; you use the templates at your own risk.

15. Messaging and SMS communications

HoundBell enables businesses using the Service to communicate with their own customers and prospective customers by email and text message. Communications may include appointment confirmations and reminders, booking updates, service-request follow-ups, quote notifications and follow-ups, contract notifications, invoice and payment notifications, receipts, review requests, and other transactional or service-related messages.

Messages are sent at the direction of the business using HoundBell and are presented in the name of that business. HoundBell acts as the software platform used to facilitate delivery of those communications.

SMS consent

Businesses using HoundBell are responsible for obtaining valid consent before sending text messages where consent is required by applicable law, carrier requirements, or messaging-industry rules.

When SMS consent is collected through a website form or HoundBell hosted booking page, recipients must affirmatively opt in to receive text messages through a separate consent mechanism, such as an unchecked checkbox. SMS consent must be voluntary and may not be required as a condition of purchasing goods or services, submitting a request, booking an appointment, or otherwise doing business with the applicable business.

Recipients who opt in may receive recurring transactional and service-related text messages from the applicable business. Message frequency varies depending on the recipient’s appointments, service requests, quotes, invoices, and other interactions with that business. Message and data rates may apply.

Consent to receive SMS messages applies only to communications from the business identified at the time of opt-in. Mobile phone numbers and mobile information will not be sold or shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.

Opting out

Recipients may opt out of SMS communications at any time by replying STOP to any text message. After an opt-out request is processed, no further SMS messages will be sent to that mobile number unless the recipient later provides new consent or otherwise opts back in through a supported method.

Help

Recipients may reply HELP for assistance. They may also contact the applicable business directly using the contact information provided by that business.

Business responsibilities

Businesses using HoundBell are responsible for:

  • sending messages only to recipients they are legally permitted to contact;
  • accurately representing their identity in messages;
  • honoring opt-out requests;
  • maintaining appropriate records of consent where required;
  • complying with applicable federal, state, and local laws and regulations;
  • complying with telecommunications carrier requirements and messaging-industry standards; and
  • ensuring that the content and frequency of their messages are consistent with the consent obtained from the recipient.

HoundBell may suspend or restrict messaging activity that appears abusive, deceptive, unlawful, non-compliant, or likely to harm the Service, our messaging providers, telecommunications carriers, recipients, or other users.

16. Changes to these terms

We may update these terms as the Service evolves. For material changes we will notify account holders by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

17. General

These terms are governed by the laws of the State of Vermont, without regard to its conflict of laws rules, and disputes will be resolved in the state or federal courts located in Vermont, unless the law of your place of residence requires otherwise. If any provision is found unenforceable, the rest remains in effect. These terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
